2. Nature of Services

Madhu Vari Epay Pvt Ltd provides technology-based payment facilitation services, including but not limited to:

  • Domestic Money Transfer (DMT)

  • Aadhaar Enabled Payment System (AePS)

  • Bill Payments / BBPS

  • Recharge & utility services

  • API-based financial and payment support services

The Company does not provide banking services and does not hold customer funds directly unless permitted by applicable law.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age

  • Be legally competent to enter into a binding contract

  • Use the services only for lawful purposes

4. User Obligations

Users agree to:

  • Provide accurate and complete information

  • Maintain confidentiality of login credentials

  • Comply with all applicable laws, RBI and NPCI guidelines

  • Not misuse the platform for fraudulent or illegal activities

The Company reserves the right to suspend or terminate access for violations.

5. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
Courts located in Tamil Nadu shall have exclusive jurisdiction over all disputes.

6. Dispute Resolution & Arbitration

In the event of any dispute, the parties shall attempt to resolve it amicably.
If unresolved, the dispute shall be referred to arbitration in India, conducted in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration seat shall be Tamil Nadu, and proceedings shall be conducted in English.

7. Force Majeure

The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to:

  • Natural disasters

  • Government actions

  • Network or system failures

  • RBI / NPCI downtime

  • Power or internet disruptions

8. Confidentiality

All user data, transaction details, API credentials, and business information are treated as confidential.

Users shall not disclose any confidential information obtained through the platform without prior written consent, except as required by law.

9. Relationship Between Parties

Nothing in these Terms shall be deemed to create:

  • A partnership

  • Joint venture

  • Employer-employee relationship

Madhu Vari Epay Pvt Ltd is an independent service provider and not a bank, financial institution, or agent of InstantPay or any partner bank.

10. Fraudulent Transactions & Risk Management

  • Users must immediately report any unauthorized or suspicious transaction.

  • Delay in reporting may affect investigation outcomes.

  • The Company shall cooperate with:

    • Partner banks

    • NPCI

    • Regulatory authorities

    • Law enforcement agencies

The Company shall not be liable for losses arising from user negligence, incorrect details, or third-party misuse.

11. Fees & Charges

Applicable service charges, commissions, or transaction fees shall be displayed on the platform or communicated separately.
All charges are subject to change as per regulatory or business requirements.

12. Limitation of Liability

The Company shall not be liable for:

  • Indirect or consequential losses

  • Third-party service failures

  • Technical or system interruptions beyond reasonable control

Maximum liability, if any, shall be limited to the transaction value involved.

13. Intellectual Property

All content, logos, trademarks, and software used on this website are the property of Madhu Vari Epay Pvt Ltd.
Unauthorized use is strictly prohibited.

14. Termination of Services

The Company reserves the right to suspend or terminate access:

  • For violation of these Terms

  • On regulatory instructions

  • For suspected fraudulent or unlawful activities

15. Amendments

The Company may modify these Terms at any time.
Updated Terms shall be posted on the website and will be effective immediately.
